Terms and Conditions

In these Terms and Conditions ("Terms"), the following definitions apply:

• "Platform" — The TalentGro Global website (talentgroglobal.com), the TalentGro portal (app.talentgroglobal.com / talentg.io), all associated subdomains, mobile applications, and digital services operated by TalentGro Global Private Limited.
• "TalentGro," "Company," "we," "us," or "our" — TalentGro Global Private Limited, CIN: U85304PB2023PTC058632, DPIIT Certificate No. DIPP138393, GST: 03AAKCT1606Q1Z4, registered office at Mohali, Punjab, India.
• "User," "you," or "your" — Any individual (student, parent, educator, institution official, professional) who accesses or uses the Platform.
• "Services" — Career counselling, AI-powered career assessments (HPPC, Personality Report, Strength Finder), online and offline training programmes, internship facilitation, vocational courses, placement assistance, live classes, and all other offerings made available through the Platform.
• "Content" — All text, images, videos, audio, assessments, course materials, AI-generated reports, software, branding, and other intellectual property available on or through the Platform.
• "Programme" — Any specific course, internship, vocational programme, workshop, or assessment enrolled in by a User.

By accessing or using the Platform in any manner — including browsing the website, creating an account, enrolling in a Programme, or making a payment — you agree to be legally bound by these Terms, our Privacy Policy, and any additional terms applicable to specific Programmes.

If you are enrolling on behalf of a minor (a person under 18 years), you represent that you have the legal authority to accept these Terms on their behalf and you accept personal responsibility for their compliance.

These Terms constitute the entire agreement between you and TalentGro regarding your use of the Platform and supersede any prior agreements or understandings. TalentGro reserves the right to modify these Terms at any time. We will notify you of material changes at least 30 days in advance via email and a prominent Platform notice. Continued use after the effective date of changes constitutes acceptance.

Minimum Age — You must be at least 16 years old to independently create an account. Users under 16 may only use the Platform through their school or educational institution, or with verifiable parental/guardian co-acceptance of these Terms.

Registration — Certain features require creating an account. You agree to provide accurate, current, and complete information and to keep your account details updated. Your registered mobile number is your primary account identifier.

Account Security — You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Do not share your credentials with others. Notify us immediately at [email protected] of any unauthorised use. TalentGro is not liable for losses arising from unauthorised account access due to your failure to safeguard credentials.

One Account per Person — Each individual may hold only one active account. Duplicate accounts may be merged or terminated at TalentGro's discretion.

TalentGro Global provides the following categories of Services:

• Career Counselling — One-on-one and group career guidance sessions, HPPC assessments, and AI-generated career reports. These are educational guidance services; they do not constitute professional psychological or financial advice.
• Training Programmes — Online and blended courses in Digital Marketing, AI Tools, Communication Skills, and related domains. Course access is provided upon payment confirmation and is valid for the period specified at enrollment.
• Internship Programme — TalentGro facilitates educational internship experiences across multiple domains. All internships are unpaid and designed for skill development. They do not create an employment relationship between the intern and TalentGro Global or any partner company. Successful completion requires meeting attendance and task completion criteria.
• Vocational Programmes — Industry-aligned vocational training courses, some affiliated with NSDC, MESC, or partner universities. Certification is subject to completion criteria and third-party certification body requirements.
• Placement Assistance — TalentGro provides placement assistance as a value-added service. Placement assistance does not constitute a guarantee of employment, specific salary levels, or placement within any given timeframe. Outcomes depend on market conditions and individual performance.

TalentGro reserves the right to modify, suspend, or discontinue any Service at any time with reasonable notice. If a Service you have paid for is discontinued, you will receive a pro-rata refund for the unused portion.

Enrollment — Enrollment in a Programme is confirmed only upon receipt of full payment (or approved installment arrangement) and issuance of an enrollment confirmation email. Enrollment is personal and non-transferable to another individual.

Participation Requirements — Participants are expected to attend scheduled sessions, submit assignments within deadlines, maintain the professional conduct standards of the Programme, and comply with all Programme-specific guidelines. Failure to meet minimum attendance or completion criteria may result in removal from the Programme without refund and/or withholding of the certificate.

Programme Modifications — TalentGro may modify the curriculum, trainers, batch dates, delivery format (online/offline), and session timings based on operational requirements. Changes will be communicated with reasonable advance notice. If a fundamental change materially impacts your ability to participate and you do not wish to continue, you may request a refund under our Refund Policy.

Batch Transfers — You may request a batch transfer to a future cohort subject to availability and payment of a batch transfer fee (₹500, unless otherwise stated).

Pricing — All fees are listed in Indian Rupees (INR) inclusive of applicable taxes unless stated otherwise. GST is applicable on all Services as per current Indian tax law (GST No. 03AAKCT1606Q1Z4). A tax invoice will be issued within 7 working days of payment.

Payment Processing — Payments are processed through Razorpay, a PCI-DSS certified payment gateway. TalentGro does not store your payment card or bank account details. By making a payment, you agree to Razorpay's terms of service in addition to these Terms.

Accepted Methods — Credit/debit cards, UPI, net banking, and EMI options as made available through Razorpay at checkout.

Installment Plans — Where installment payment plans are offered, you are committed to completing all installments. Late payment (more than 7 days beyond due date) will attract a penalty of 2% per week on the outstanding amount. Failure to pay installments may result in suspension of Platform access until dues are cleared.

Fee Non-Transferability — Fees paid are non-transferable between programmes or persons unless expressly permitted in writing by TalentGro.

Price Changes — Prices are subject to change. Enrolled users are not affected by price changes after their enrollment is confirmed and paid.

Refund eligibility, timelines, and procedures are governed by our separate Refund Policy, which forms part of these Terms. Please read it carefully before enrolling.

In summary: refund eligibility varies by Programme type and stage of delivery. Key principles:

• Registration and processing fees are non-refundable once enrollment is confirmed.
• Refunds for unaccessed content may be available within a limited window after purchase.
• Once a Programme has been substantially accessed or a live batch has commenced, refunds are not available.
• If TalentGro cancels a Programme or fails to deliver a committed service, a full refund will be processed.

TalentGro's IP — All Content on the Platform — including course videos, PDFs, assessments, AI-generated career reports, software tools, branding, logos, and training materials — is owned by TalentGro Global Private Limited or its licensors. It is protected under the Copyright Act, 1957, the Trademarks Act, 1999, and applicable Indian and international IP law.

Licence to Users — By enrolling, you receive a limited, personal, non-exclusive, non-sublicensable, revocable licence to access and use the Content solely for your personal educational purposes during the Programme period. You may not download, screen-record, redistribute, resell, create derivative works from, or commercially exploit any Content without prior written consent from TalentGro.

AI-Generated Outputs — Career reports, assessment outputs, and other AI-generated content produced by TalentGro's AI tools are owned by TalentGro Global. You receive a personal, non-commercial licence to view and use them for your own career planning. You may not represent AI-generated TalentGro reports as your own independent work or licence them to others.

User-Generated Content — Assignments, projects, and submissions you create retain their copyright with you. By submitting them through the Platform, you grant TalentGro a royalty-free, worldwide, non-exclusive licence to use, display, and analyse your submissions for Platform improvement and, with your consent, for showcasing as success stories or case studies.

Trademarks — 'TalentGro,' 'TalentGro Global,' and associated logos are trademarks of TalentGro Global Private Limited. You may not use our trademarks, trade names, or branding without prior written permission.

By using the Platform, you agree to:

• Use the Platform only for lawful purposes and in accordance with these Terms.
• Treat all users, instructors, counsellors, and TalentGro staff with respect and professionalism.
• Maintain academic honesty — no plagiarism, cheating, or misrepresentation in assignments or assessments.
• Not record live sessions (audio or video) without explicit written permission from TalentGro and all participants.
• Not share your account credentials or allow others to access the Platform using your login.

You agree NOT to:

• Attempt to gain unauthorised access to any part of the Platform, its servers, databases, or administrative systems.
• Upload, transmit, or share any malicious code, viruses, or harmful software.
• Scrape, data-mine, or use automated tools to extract Content from the Platform without written authorisation.
• Post, share, or transmit any defamatory, offensive, illegal, or infringing Content through the Platform.
• Impersonate TalentGro, its employees, trainers, or other users.
• Engage in any activity that disrupts or impairs Platform performance or other users' experience.

Violations may result in immediate suspension or termination of your account, withholding of certification, forfeiture of fees paid, and potential legal action. TalentGro maintains a zero-tolerance policy for harassment, bullying, and misconduct within any Platform-facilitated interaction.

Issuance Criteria — Certificates and internship completion letters are issued only upon meeting the Programme's specified criteria: minimum attendance (typically 80%), satisfactory completion of assessments, submission of required tasks, and payment of all fees.

Accuracy of Information — TalentGro issues certificates based on information you provided during enrollment. You are responsible for providing accurate details. TalentGro cannot be held liable for certificates issued based on incorrect information provided by you.

Misrepresentation Prohibited — You may not alter, misrepresent, or forge any TalentGro certificate, offer letter, or credential. Misrepresentation of TalentGro credentials may constitute fraud and may result in legal action.

Third-Party Acceptance — TalentGro is not responsible for whether employers, institutions, or other organisations accept or recognise our certificates. We make no representations regarding third-party recognition.

The Platform integrates with third-party services including Zoom (live classes), Razorpay (payments), Google (authentication), and partner institutions. Your use of these integrated services is additionally subject to their respective terms of service and privacy policies.

TalentGro is not responsible for disruptions, failures, or changes to third-party services. Service interruptions caused by Zoom, Razorpay, or other third parties do not entitle you to refunds unless TalentGro is unable to deliver the committed service for a sustained period (more than 7 days).

The Platform and Services are provided "as is" and "as available" without warranties of any kind, express or implied, except as expressly required by applicable Indian consumer protection law.

TalentGro does not warrant that:

• The Platform will be uninterrupted, error-free, or free of viruses or harmful components.
• Any career assessment results, counsellor recommendations, or AI-generated outputs will guarantee specific career or employment outcomes.
• Placement assistance will result in employment within any timeframe or at any specific salary level.
• Certificates issued by TalentGro will be accepted by any particular employer, institution, or regulatory body.

To the maximum extent permitted by Indian law:

• TalentGro's aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to TalentGro in the 3 months immediately preceding the claim.
• TalentGro shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, business opportunities, reputation, or data — arising from your use of or inability to use the Platform or Services.
• TalentGro is not liable for force majeure events including natural disasters, government orders, internet outages, pandemics, or other events beyond our reasonable control.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully limited or excluded under the Consumer Protection Act, 2019 or other applicable law.

You agree to indemnify, defend, and hold harmless TalentGro Global Private Limited, its directors, officers, employees, trainers, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms.
• Your violation of any applicable law or third-party right.
• Any Content you submit through the Platform.
• Your misrepresentation of any information provided to TalentGro.

TalentGro may suspend or terminate your account and access to the Platform with immediate effect, and without refund, if you:

• Breach any of these Terms.
• Engage in misconduct, fraud, or harassment.
• Fail to pay due fees after reasonable notice.
• Provide false or misleading information during registration or enrollment.

You may close your account at any time by contacting [email protected]. Closing your account does not affect obligations already incurred (e.g., outstanding installment payments). Upon closure, your access to purchased Content will cease.

Provisions of these Terms that by their nature should survive termination (including IP rights, limitation of liability, indemnification, and governing law) remain in effect after termination.

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, process, store, share, and protect your personal data in compliance with the DPDP Act 2023, IT Act 2000, and GDPR (for EU residents).

By using the Platform, you consent to data processing as described in the Privacy Policy. Where separate consent is required for specific processing (e.g., marketing communications), you will be asked explicitly.

Governing Law — These Terms are governed by and construed in accordance with the laws of India. The UN Convention on Contracts for the International Sale of Goods does not apply.

Jurisdiction — Subject to the arbitration provision below, any disputes shall be subject to the exclusive jurisdiction of the competent courts in Mohali, Punjab, India.

Dispute Resolution — Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, as follows:

• Seat of arbitration: Mohali, Punjab, India
• Language: English
• Single arbitrator appointed by mutual agreement, or failing that, by the court

Nothing prevents either party from seeking urgent injunctive relief from a competent court before or during arbitration.

For complaints or concerns regarding these Terms, Services, or your experience with TalentGro:

The Grievance Officer will endeavour to resolve your complaint within 30 days.

Consumers also have the right to file a complaint with the National Consumer Disputes Redressal Commission (NCDRC) or appropriate consumer forum under the Consumer Protection Act, 2019.

Severability — If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

Waiver — Failure by TalentGro to enforce any provision of these Terms does not constitute a waiver of that right.

Entire Agreement — These Terms, together with the Privacy Policy, Refund Policy, and any Programme-specific terms, constitute the entire agreement between you and TalentGro regarding the Platform.

Assignment — You may not assign your rights or obligations under these Terms. TalentGro may assign its rights in connection with a merger, acquisition, or business restructuring.

Language — These Terms are published in English. In case of any conflict between translated versions and the English version, the English version prevails.
