Program Type: This is a referral-based affiliate program, not a job, not MLM, and not direct selling.

Commission: You earn 7% commission on the base amount of a successful sale.
Taxes, shipping, discounts, and refunds are excluded.

Who Can Earn: Only new customers’ first purchase is eligible for commission.

Tracking Rule: Referrals are tracked for 30 days. If multiple affiliates refer the same customer, the last affiliate gets the commission.

Payment Cycle: Payouts are processed monthly. Approved earnings are paid on or before the 15th of the next month, subject to a minimum ₹1,000 balance.

Refunds: If a customer cancels or takes a refund, the related commission is cancelled or adjusted.

Your Role: You act as an independent affiliate, not an employee or agent of TalentGro Global.
No income, job, or placement is promised.

Promotion Rules: No false claims, no spam, no income guarantees, no misuse of brand name in ads.

Taxes: TDS will be deducted as per Indian law. You are responsible for declaring your affiliate income.

Our Rights: TalentGro Global may suspend or terminate an affiliate account for policy violations.

Affiliate Terms and Conditions

These Affiliate Terms and Conditions (“Terms”) govern participation in the TalentGro Global Affiliate Program (“Program”). By registering as an affiliate, the applicant (“Affiliate”) confirms that they have read, understood, and legally agreed to these Terms.

1. Legal Identity and Scope

TalentGro Global Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at: 40 A/4, Savitry Enclave, VIP Road, Zirakpur, Punjab – 140603

(hereinafter referred to as “TalentGro Global”, “Company”, “We”, or “Us”)

operates an education and skilling platform offering digital learning programs, internships, assessments, certifications, and allied educational services.

This Affiliate Program is purely referral-based and does not constitute direct selling, network marketing, or multi-level marketing under Indian law.

2. Nature of the Affiliate Relationship

a. The Affiliate is an independent contractor and not an employee, agent, partner, franchisee, or legal representative of TalentGro Global.

b. The Affiliate has no authority to bind the Company, make representations, guarantees, or commitments on behalf of TalentGro Global.

c. This arrangement is non-exclusive, and TalentGro Global may appoint multiple affiliates simultaneously.

3. Eligibility to Become an Affiliate

To participate, the Affiliate must:

Be at least 18 years of age
Be competent to contract under the Indian Contract Act, 1872
Provide accurate identity, contact, and payment details
Complete affiliate registration and receive approval

TalentGro Global reserves the absolute right to approve, reject, suspend, or terminate any affiliate application without assigning reasons.

4. Affiliate Registration and Account

a. Affiliate registration is free of cost.
b. No joining fees, deposits, or mandatory purchases are required.
c. Upon approval, the Affiliate is issued a unique affiliate ID and tracking link.
d. Affiliate credentials are confidential and the Affiliate is solely responsible for account security.

5. Commission Structure

a. Commission Rate:

7% of the base sale amount only

b. The following are strictly excluded from commission calculation:

Taxes (including GST)
Shipping or logistics charges
Discounts, coupons, or promotional adjustments

c. Commission eligibility applies only to first-time customers referred by the Affiliate.

d. No commission is payable on:

Repeat purchases by the same customer
Cancelled or refunded transactions
Fraudulent or self-manipulated transactions

6. Tracking and Attribution

a. Affiliate referrals are tracked using browser cookies.
b. Cookie validity: 30 days from the date of first click.
c. Attribution model: Last Affiliate Wins.
d. If cookies are disabled, deleted, or overwritten, the Company is not liable for tracking failure.

7. Self-Referral

Affiliates may earn commission on their own purchases only if:

The transaction is routed through their valid affiliate link
The transaction complies with platform policies
No misuse, manipulation, or circular transactions are detected

TalentGro Global reserves the right to reject such commissions if misuse is suspected.

8. Refunds, Chargebacks, and Reversals

a. If a customer seeks a refund, cancellation, or chargeback:

The corresponding commission shall be rejected or reversed

b. Unpaid commissions linked to refunded transactions are automatically forfeited.

c. No refund grace period applies.

9. Minimum Payout Threshold

a. Minimum payout amount: ₹1,000 (Rupees One Thousand only)
b. Earnings below the threshold shall roll over to subsequent payout cycles.
c. No interest is payable on pending balances.

10. Payouts and Tax Compliance

a. Affiliates must provide correct payment details.
b. All payouts are subject to TDS deduction as per the Income Tax Act, 1961.
c. Affiliates are solely responsible for:

Income tax filings
GST compliance, if applicable
Declaring affiliate income to statutory authorities

TalentGro Global bears no liability for the Affiliate’s tax obligations.

11. Permitted and Prohibited Conduct

Affiliates must NOT:

Misrepresent TalentGro Global programs, pricing, outcomes, or job assurances
Make income guarantees or “easy earning” claims
Use spam, misleading ads, fake testimonials, or forced clicks
Run paid ads using TalentGro Global brand name without written consent
Promote illegal, unethical, or misleading content

Violation may result in immediate termination and forfeiture of commissions.

12. Zero-Value Commissions

Zero-value entries may appear in reports for tracking or system accuracy.
Such entries do not entitle the Affiliate to payment.

13. Confidentiality

Affiliates shall maintain strict confidentiality of:

Commission structures
Platform data
Internal materials
Non-public business information

Confidentiality obligations survive termination.

14. Suspension and Termination

TalentGro Global may suspend or terminate an affiliate account:

For breach of these Terms
For fraud or misrepresentation
For reputational harm to the Company
At its sole discretion, with or without notice

Upon termination, all unpaid commissions stand forfeited.

15. Modification of Terms

TalentGro Global reserves the right to amend these Terms at any time.
Continued participation after updates constitutes deemed acceptance.

16. Limitation of Liability

TalentGro Global shall not be liable for:

Indirect or consequential losses
Tracking failures due to technical reasons
Affiliate marketing performance
Loss of earnings or opportunity

17. Force Majeure

Neither party shall be liable for failure due to events beyond reasonable control including natural disasters, government actions, internet outages, or legal restrictions.

18. Governing Law and Dispute Resolution

a. These Terms shall be governed by laws of India.
b. Any dispute shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996.
c. Seat and venue of arbitration: Chandigarh
d. Courts at Chandigarh shall have exclusive jurisdiction.

19. Declaration and Acceptance

By registering as an Affiliate, the Affiliate declares that:

They understand this is not employment or assured income
Earnings depend solely on genuine referrals
They accept all Terms voluntarily and legally

20. Payment Cycle and Disbursement Schedule

a. Payment Frequency
Affiliate commissions are processed on a monthly payment cycle.

b. Payout Date
All eligible and approved commissions for a given month shall be paid on or before the 15th day of the following calendar month.

c. Eligibility for Monthly Payout
Only commissions that meet all the following conditions will be included in the monthly payout:

Commission status is Approved
Minimum payout threshold of ₹1,000 is met
No refund, cancellation, or chargeback is initiated for the related transaction
Valid and complete payment details are available

d. Carry Forward Rule
If the total payable commission does not reach ₹1,000 in a given month, the amount will be carried forward to the next month until the threshold is met.

e. Delay or Adjustment Rights
TalentGro Global reserves the right to:

Hold payouts in case of suspected fraud, compliance review, or verification
Adjust commissions against refunds or reversals identified later

Such adjustments shall be final and binding.

Simple Payment Examples:

Example 1: Normal Monthly Payout

Sales done in: January
Total approved commission: ₹2,800
Payment date: 15th February

Result: ₹2,800 paid on or before 15th February.

Example 2: Below Minimum Threshold

Sales done in: February
Total approved commission: ₹650

Result: No payout in March. ₹650 is carried forward.

March commission earned: ₹600
Total = ₹1,250

Result: ₹1,250 paid on 15th April.

Example 3: Refund Impact

March commission earned: ₹1,400
One order refunded worth commission: ₹500

Revised payable commission: ₹900

Result: No payout on 15th April. ₹900 carried forward.

Example 4: Late Refund After Payout

April payout already released on 15th May
Refund identified later for ₹300 commission

Result: ₹300 adjusted against next eligible payout.
